HMH Holding B.V. – Successful placement of a senior secured bond issue
Reference is made to the stock exchange notice from HMH Holding B.V. (the “Company”) dated Tuesday, 2 December 2025, regarding a contemplated new senior secured bond issue.
The Company is pleased to announce the successful placement of a new USD 200 million senior secured bond issue with a 3-year tenor and a fixed coupon of 7.875 % per annum (the “Bonds”). The net proceeds from the Bonds will be applied towards settlement in full of the Company’s existing USD 200 million senior secured bond issue with ISIN NO0013063495 (“HMHH02”). The Company will issue a call notice for early redemption of HMHH02 at the prevailing call price of 103.292%, plus accrued interest, in due course.
The Company shall ensure that the Bonds will be listed on Euronext ABM within 6 months.
DNB Carnegie, Nordea, Arctic Securities and Pareto Securities acted as Joint Bookrunners in the transaction.
